ENGAGE XR Appoints Liquidator. AIM Nomad Resigns the Same Day.

ENGAGE XR Holdings Plc has taken the next step in its court-approved wind-down. In a 15 September 2026 RNS, the AIM-listed spatial computing company said it appointed Colin Gaynor of Resolute Advisory as liquidator, following the 1 September suspension notice that its largest customer would take no further licences.

Metaverse Watcher covered the 1 September suspension and liquidation path and the later Optima library migration off ENGAGE. Today’s filing is the formal appointment that turns that path into an active Irish liquidation.

What the RNS says

  • Liquidator: Colin Gaynor, Resolute Advisory (Dun Laoghaire, Co. Dublin), appointed to facilitate the court-approved liquidation under Irish law.
  • Nominated Adviser: Cavendish Capital Markets Limited resigned as Nomad with immediate effect. The board does not expect to appoint a replacement now.
  • AIM clock: Under AIM Rule 1, if no replacement Nomad is appointed within six weeks of 15 September, admission of the company’s shares to trading on AIM will be cancelled.

That six-week Nomad window is the concrete market consequence of today’s appointment. The 1 September notice already said a shareholder return was not currently expected; nothing in the 15 September RNS softens that.

High Court context

Separately, the Irish Examiner reports that Mr Justice Micheál O’Connell appointed Gaynor as provisional liquidator to preserve recoverable assets. Counsel told the court ENGAGE could not survive a run of customer losses that included a Saudi government virtual-city deal pulling out, an August non-renewal of a roughly €1 million education contract with no prior notice, and another customer worth about €500,000 a year leaving the platform.

The company was described as not currently balance-sheet insolvent, but continuing to trade would have burned available cash within weeks. Waterford-based ENGAGE, founded in 2015, built enterprise metaverse tools used by names including HSBC, Pfizer, Meta, and Lenovo, and marketed ENGAGE Link as a corporate spatial platform alongside Virtual Campus, Virtual Office, and Virtual Events.

Why it matters for XR

ENGAGE was one of the longer-running AIM-listed bets on enterprise VR training and events. The sequence from largest-customer walkaway to Nomad resignation to liquidator appointment is a clean case study in how concentrated enterprise contracts can unwind a spatial platform faster than the hardware cycle turns. Remaining education and corporate customers that have not already migrated — Optima’s Arthur move is one public example — now face a formal insolvency process rather than a soft wind-down.
