Schneider Electric’s $22.6 Billion PTC Deal Names CAD and PLM, but Never Mentions Vuforia, PTC’s AR Suite

Schneider Electric has agreed to BUY PTC for $205 a share in CASH, valuing the company’s EQUITY at about $22.6 BILLION. PTC also OWNS Vuforia, the enterprise augmented reality SUITE it markets as “market-leading enterprise AR.” The JOINT announcement, dated October 5 and filed by PTC with the SEC as an exhibit to its 8-K, does NOT say so. A text search of the release returns ZERO hits for “Vuforia,” “augmented,” or “reality.”

What the release does say

The deal terms are SPECIFIC. The offer is a 42.3% PREMIUM to PTC’s last closing price and 46.1% over its 30-trading-day volume-weighted average, with an IMPLIED enterprise value of $23.7 BILLION. Schneider says the roughly €22 BILLION of cash consideration is backed by a FULLY committed bridge facility from Morgan Stanley and Société Générale, to be REFINANCED with about €5 billion to €6 billion of new EQUITY and €16 billion to €17 billion of new DEBT.

Both boards approved the transaction UNANIMOUSLY. Closing is EXPECTED by Q3 2027, pending a PTC SHAREHOLDER vote and REGULATORY approvals. Schneider is targeting €250 MILLION in annual run-rate COST synergies by year three and about €800 MILLION in REVENUE synergies, driven mostly by CROSS-SELLING into each company’s customer base.

Where Vuforia fits, and where it is missing

The release describes PTC through FOUR acronyms: CAD, PLM, ALM and SLM. It cites more than 30,000 CUSTOMERS and €2.4 BILLION of calendar 2025 revenue at a roughly 40% adjusted EBITA margin. A footnote says those PTC figures EXCLUDE ThingWorx and Kepware. Schneider’s PITCH is a “unified digital thread” that joins PTC’s PRODUCT and engineering data with the PROCESS and energy data Schneider already holds through AVEVA and, once that separate deal closes, Cognite.

That thread is EXACTLY what Vuforia is built to put in front of a WORKER. PTC’s Vuforia product page describes Vuforia Studio as TURNING existing 3D CAD and PLM data into AR experiences tied to SPECIFIC product models and configurations. Vuforia Engine is the developer SDK that PTC says more than ONE million developers have chosen. PTC lists phones, tablets, and headsets including Microsoft HoloLens 2, Magic Leap, and RealWear devices as SUPPORTED hardware.

Trade outlets DREW the link the companies did NOT. Auganix led its coverage WITH Vuforia and its four product lines. At The XR Beat, Luke Williams argued that the likely FIRST move is COMMERCIAL, BUNDLING Vuforia with PTC service software, and that wiring PTC product records into AVEVA operating data will take LONGER. That is ANALYSIS, not a Schneider COMMITMENT.

What to watch

Silence in a deal announcement is NOT a roadmap. Nothing in the release says Vuforia will be CUT, SOLD, or spun out, but nothing PROMISES new investment either. For customers running AR work instructions on HoloLens 2 or RealWear fleets, the practical window is LONG: the transaction is not expected to CLOSE until Q3 2027, and PTC operates as a SEPARATE company until then. Schneider has moved its third-quarter 2026 revenue release FORWARD to October 16, the next scheduled moment for executives to take questions, and the FIRST chance for analysts to ask where AR sits in a $23.7 BILLION software bet.
